BOARD DIVERSITY POLICY

1. PURPOSE

The Board diversity policy (the “Policy”) aims to set out the approach to achieve diversity on the Company’s board of directors (the “Board”).

2. VISION

The Company recognizes and embraces the benefits of having a diverse Board to enhance the quality of its performance.

3. POLICY STATEMENT

The Company considers increasing diversity at Board level as an essential element in sustaining its growth and development as well as maintaining its overall competitiveness. A truly diversified Board will include and make good use of differences in the skills, regional and industry experience, background, race, gender and other qualities of directors. These differences will be taken into account in determining the optimum composition of the Board. All appointments of the members of the Board will be made on merit, in the content of talents, skills and experience the Board as a whole requires to be effective.

4. IMPLEMENTATION

The Company commits to selecting the best person for the members of the Board. Selection of candidates will be based on a range of diversity perspectives, including but not limited to gender, age, cultural background and ethnicity, in addition to educational background, professional experience, skills, knowledge and length of service. The ultimate decision will be based on merit and contribution that the selected candidates will bring to the Board. The Board’s composition (including gender, age, length of service) will be disclosed in the corporate governance report (the “Corporate Governance Report”) annually.
 

5. MONITORING AND REPORTING

The Nomination Committee (the “Committee”) will report annually, in the Corporate Governance Report of the Company’s annual report, on the Board’s composition under diversified perspectives and monitor the implementation of this Policy.
 

6. REVIEW OF THIS POLICY

The Committee will review the Policy annually, which will include an assessment of the effectiveness of the Policy. The Committee will discuss any revisions that may be required and recommend any such revision to the Board for approval.
 

7. DISCLOSURE OF THIS POLICY

This policy will be published on the Company’s website for public information.
A summary of this Policy and the progress of implementing this Policy will be disclosed in the annual Corporate Governance Report.

Note: The Board approved this Board Diversity Policy on December 2013.
